We are looking for a Contract Lawyer (Middle) to join our team in Kyiv, Ivano-Frankivsk, or remotely.

Responsibilities

• Preparing, analyzing, and reviewing contracts (supply, sale and purchase, services, works, lease, NDAs, addenda, and specifications)
• Negotiating the legal terms of contracts with counterparties
• Developing and updating contract templates, a library of standard wording, standard legal responses, internal checklists, and instructions
• Coordinating contract execution (internal approvals, signing, registration, and storage)
• Monitoring performance of contractual obligations, terms, and renewals, notice periods, and other key dates
• Vetting counterparties (partners, suppliers, subcontractors), assessing legal and compliance risks, preparing brief conclusions for internal departments
• Maintaining the internal legal data room: keeping corporate, contract, compliance, and procurement templates up to date
• Providing legal advice to other company departments on legal matters (together with the Head of Legal and other members of the legal team)
• Preparing official letters and responses to government authorities
• Supporting the incorporation, reorganization, and liquidation of legal entities, amendments to charters, and information in the Unified State Register (EDR)

Requirements

• Higher education in law
• 2–3 years of contract experience in-house or at a law firm
• Experience independently preparing contracts and negotiating with counterparties
• Experience vetting counterparties and registration actions in the Unified State Register (EDR)
• English B2, sufficient for preparing documentation and corresponding in English
• Ability to manage many parallel processes without missing deadlines, and a high level of accuracy in documents.

Nice to Have

• Experience in a defense, manufacturing, or technology company
• Experience with contracts with government customers (AOZ, DOT, Prozorro)
