About the Position
Amusnet, a leading provider of gaming products and solutions, is seeking a Corporate Legal Counsel (Mid-level) to join our team in Sofia, Bulgaria. As we expand our global presence, we are looking for a professional who combines strong expertise in corporate and company law with a practical understanding of corporate governance, group structures, and cross-border corporate support.
Responsibilities
- Lead the preparation, review, and management of incorporation documents, including shareholder resolutions, powers of attorney, and constitutional documents.
- Provide end-to-end legal support for the incorporation of group entities across multiple jurisdictions.
- Review and finalize management agreements, employment agreements, lease agreements, and other contractual arrangements.
- Coordinate pre- and post-incorporation processes, including KYC and AML procedures, bank account opening, and mandatory registrations.
- Manage legalization, notarization, apostille, registration, and all related corporate and regulatory actions.
- Draft, maintain, and update internal group policies to ensure alignment with legal requirements and operational needs.
- Participate in external training and professional development initiatives.
Requirements
- 5+ years of relevant post-qualification experience in corporate and company law, preferably within a holding company structure or a reputable law firm.
- Practical experience in supporting incorporations across multiple jurisdictions and coordinating with local legal advisors.
- Good understanding of entity setup processes, including registrations, filings, KYC/AML procedures, and compliance requirements.
- Experience in preparing corporate legal due diligence reports and conducting corporate reviews as part of M&A transactions is a plus.
- Proficiency in English; knowledge of another major language is an advantage.
- Strong critical thinking, analytical, and legal drafting skills.
