We’re hiring an International Legal Counsel (EU and Ukraine) to own commercial contracting and employment matters across the EU-Poland, Czech Republic, Netherlands, France-with additional knowledge of Ukrainian legislation. You’ll draft and negotiate agreements end-to-end, localize clauses per jurisdiction, guide HR on labor topics, and reduce risk while enabling fast, scalable operations.

Responsibilities

  • Commercial contracting (end-to-end): Draft, review, and negotiate MSAs, SOWs, DPAs (including SCCs), SLAs, NDAs, partner/reseller agreements, procurement/vendor contracts, and software/SaaS & cloud terms (e.g., GCP/GWS, Asana, HubSpot, GMP).
  • Clause ownership & playbooks: Build and maintain a clause library (liability caps, indemnities, IP ownership/licensing, termination, service credits, governing law/jurisdiction, non-solicit, EU-compliant non-compete), plus red-flag checklists and fallback positions per country (PL, CZ, NL, FR; UA).
  • Employment & labor law: Advise on employment contracts, contractor agreements, policy updates (e.g., PTO), remote-work rules, performance/disciplinary processes, terminations, and worker classification; coordinate local counsels for sensitive cases.
  • Data protection: Lead contractual privacy terms (GDPR, SCCs, international transfers), support ISSM on DPIAs/ROPA, vendor risk and audit clauses; align with ISSM on security exhibit language.
  • Corporate and cross-border enablement: Localize templates and terms to Poland, Czech Republic, Netherlands, France, and incorporate Ukrainian legal specifics for commercial and HR matters; support new EU entity openings and corporate housekeeping.
  • Regulatory watch: Track labor, consumer, digital, privacy, platform, AI developments and publish guidance notes and training for Sales, Delivery, and HR.
  • Disputes & outside counsel: Handle pre-litigation dispute resolution, manage outside counsel when needed, and control spend with clear scopes and KPIs.
  • Process & systems: Improve contract lifecycle, define SLAs, and maintain contract repository/CLM hygiene; contribute to compliance initiatives (e.g., ISO 27001, NIS2) from a contractual perspective.

Requirements

  • 3+ years post-qualification experience within tech/SaaS, partner/channel, or consulting environment.
  • Proven experience across EU commercial contracts and employment/labor in at least two of the following markets: Poland, Czech Republic, Netherlands, France, Bulgaria; working knowledge of Ukrainian legislation (commercial/labor/contracting).
  • Admitted to practice in an EU jurisdiction (or Ukraine); confident coordinating with local counsel when needed.
  • Solid track record drafting/negotiating SaaS/cloud and professional services contracts (IP ownership, DPAs/SCCs, security exhibits, SLAs, acceptance/acceptance criteria, payment/late-payment, tax/VAT clauses).
  • Hands-on with employment/contractor topics: onboarding, probation, policy implementation, disciplinary/termination, restrictive covenants (EU-compliant), and worker classification.
  • Strong clause craftsmanship and risk judgment (LoL caps and structure, mutual vs unilateral indemnities, IP & OSS, data localization/transfer, governing law/venue, force majeure, step-in/exit assistance).
  • Confident working cross-functionally (Sales, Delivery, HR, Finance, Security) and balancing speed with compliance in a consulting cadence.
  • Fluency in English (written & spoken). Additional language proficiency in Ukrainian, Polish, Czech or Bulgarian is a strong advantage.

Nice to Have

  • Experience with Diia City/gig contracts in Ukraine.
  • Familiarity with CLM/e-signature tools and contract metrics.
  • Exposure to ISO 27001 / NIS2 / SOC 2 contractual requirements.
