We are seeking an experienced Legal Counsel to join our team in Tbilisi.

Responsibilities

• Legal advice: Provide legal analysis and support on a range of legal issues affecting the business.
• Cross-functional support: Assist various departments within the company in their everyday activities from a legal perspective, providing practical guidance to support their day-to-day operations.
• Contract negotiation: Draft, review, negotiate and maintain a wide variety of contracts and agreements entered into by the company - including intercompany agreements, share-purchase agreement, software license / SaaS and PaaS agreements, labour agreements and sales agreements. A significant part of this work involves international contracts across multiple jurisdictions.
• Compliance: Help ensure the company complies with relevant laws and regulations across its operations and business activities in the fields of data protection, software development, labour, lease and M&A.
• Risk management: Identify legal risks the company may face and help implement strategies to mitigate them.
• Engagement with administrative bodies: Represent and liaise with state and administrative authorities in Georgia and abroad on matters relevant to the company's operations.
• Corporate governance: Support corporate governance matters and help ensure compliance with applicable laws and regulations, including assisting in the development of the relevant policies, procedures and guidelines.

Requirements

• A law degree and at least 4-6 years of qualification to practice law in Georgia.
• A strong background drafting, reviewing and negotiating a broad variety of commercial contracts, including international contracts across multiple jurisdictions.
• Litigation experience, including managing disputes and representing the company's interests.
• Proven experience working with and representing clients before administrative and state bodies.
• A solid grounding in corporate and commercial law.
• Working knowledge of data protection, IP, regulatory compliance and preferably tech frameworks.
• The ability to translate complex legal matters into clear, practical analysis and to work effectively as part of a legal team.
• Excellent written and spoken English and Georgian; working efficiency of a third language would be a plus.
• A proactive, ownership-driven approach and the ability to thrive in a fast-paced international environment.
