Senior Legal Counsel

We are creating new formats, stories, and building a world where the only limit is human imagination. And now we are looking for a Senior Legal Counsel (Contracts & Corporate) who is ready to join us and create it with us.
Responsibilities
Commercial and Content Agreements
- Lead and close strategic alliances and content production agreements with major US entertainment studios (e.g., Fox Entertainment) and top content creators.
- Structure and negotiate IP agreements: AI-derivative rights, adaptation licenses, distribution agreements with global publishers.
- Manage agreements with major digital platforms (e.g., TikTok), working with asymmetric terms.
- Build a contract management process in the company: drafting and negotiating tech/IT agreements with providers (SaaS, cloud/hosting, DPA, SLA, MSA/SOW, etc.).
M&A, Investments, and Due Diligence
- Lead legal workstreams for sell-side and buy-side M&A: SPA redlining, deal structuring, due diligence, post-closing integration.
- Coordinate with top-tier external advisors on cross-border deals.
- Support investment legal processes: diligence responses, data room management, correspondence with investors.
- Manage documentation for credit lines, debentures, and security instruments.
Corporate Governance and Structure Management
- Manage a multi-jurisdictional group (Cyprus / US / others): incorporations, director appointments, corporate secretarial, registered agents.
- Administer shareholder agreement mechanics: reserved-matter protocols, board meetings, approvals, approval procedures.
- Manage relationships with corporate services providers and maintain KYC/AML documentation for banking partners.
Requirements
- At least 5 years of experience as a Legal Counsel in large consulting firms (Big Four, Legal 500).
- Experience in complex negotiations in multi-jurisdictional agreements.
- Strong background in corporate law.
- Understanding of English law concepts (English and Welsh law): warranties, representations, indemnities, etc.
- Experience with contracts under English / American law.
- Experience in large deals (M&A, investments, strategic partnerships).
- English C1 - primarily for negotiations.
- Use of AI for working with contracts.
Nice to Have
- Experience with foreign jurisdictions.
- Exposure to corporate, banking, financial project, IP/technology practices.
- Experience with studios and understanding of IP agreements.
- Experience with investments and rounds.
