About The Role

We're looking for a Senior Legal Counsel to provide end-to-end legal support across our group of companies, covering corporate governance, commercial contracts, regulatory compliance, intellectual property, and M&A across multiple jurisdictions, with a particular focus on the UK, Cyprus, and the EU.

This is a high-ownership role where you'll build scalable legal processes, work directly with the founders, proactively improve how legal operations are run, and leverage AI tools to work smarter and more efficiently.

Responsibilities

  • Own legal processes end-to-end, designing and continuously improving scalable legal workflows.
  • Manage company incorporations and ongoing corporate maintenance across multiple jurisdictions, including the UK, Cyprus, the EU, Estonia, Poland, Latvia, and others.
  • Draft, review, negotiate, and maintain a broad range of commercial agreements, including: service agreements, white-label agreements, licensing agreements, partnership agreements, customer agreements, and other commercial contracts.
  • Ensure compliance with applicable UK and EU fintech and financial services regulations.
  • Support financial licensing processes and maintain relationships with banks and financial institutions.
  • Manage intellectual property matters, including trademarks and the Cyprus IP Box regime.
  • Support M&A activities, including legal due diligence, transaction documentation, and coordination with external advisors.
  • Identify legal and regulatory risks and provide practical, business-focused legal guidance.
  • Maintain accurate corporate records and ensure legal documentation remains organised and up to date.
  • Collaborate with external law firms, corporate secretaries, accountants, auditors, regulators, and other partners.
  • Monitor regulatory developments and conduct legal research across relevant jurisdictions.
  • Partner closely with the founders, contributing to strategic decisions and driving improvements across legal and corporate operations.
  • Actively use AI tools to streamline legal research, drafting, document management, and day-to-day legal work.

Requirements

  • 5+ years of experience as a Legal Counsel, Corporate Lawyer, or in a similar role.
  • Strong background in corporate law, commercial contracts, and regulatory compliance.
  • Experience supporting companies across multiple jurisdictions, particularly the UK, Cyprus, and the EU.
  • Good understanding of fintech, payments, e-money, or broader financial services regulation.
  • Hands-on experience with company incorporations, corporate governance, and ongoing corporate maintenance.
  • Experience supporting financial licensing processes and working with banks or financial institutions.
  • Experience managing intellectual property matters, including trademarks. Experience with the Cyprus IP Box regime is a strong advantage.
  • Experience supporting M&A transactions, including legal due diligence and transaction documentation.
  • Excellent contract drafting, negotiation, and legal writing skills.
  • Ability to independently own legal matters from initiation through completion.
  • Strong analytical, problem-solving, and decision-making skills with a pragmatic business mindset.
  • A proactive approach, strong ownership mentality, and passion for continuously improving processes.
  • Active user of AI tools to enhance legal research, drafting, and operational efficiency.
  • Professional working proficiency in English and Russian.
